What is Bolsa Social?
Bolsa Social is a participatory financing / equity crowdfunding platform that connects social enterprises with impact investors, the first platform of its kind authorized by the CNMV in Spain. Bolsa Social seeks to finance the growth of companies with a good business model, growth potential, and which produces a positive impact on society and the environment. At the same time, Bolsa Social is aimed at investors who seek to obtain not only a fair financial return on their investments, but also an "impact" return, in an economic, social and/or environmental way. Bolsa Social promotes impact investments in society.
What is social entrepreneurship?
These are companies that produce goods or provide services in an innovative, sustainable and profitable way, producing at the same time a positive impact on society and the environment.

In Bolsa Social, companies have a mission of social impact, and their activity is intentionally focused on solving some of the most relevant social and / or environmental challenges of our time. In this sense, the Sustainable Development Goals (SDGs) serve as a framework to know what social or environmental challenge each company is facing.
What is social impact investment?
Impact investing is a type of investment that seeks both a fair financial return for the investor and a positive, measurable and creditable social and / or environmental impact. According to the GIIN (Global Impact Investing Network), one of the reference sources in terms of impact investing, this type of investment moved a total of approximately 715 billion dollars in 2020, as stated in their latest annual guide.

At Bolsa Social we promote impact investment, since through the platform anyone can invest in companies with a social impact, with potential for profitability and with a social impact that is measured through impact indicators.
What is crowdfunding?
Crowdfunding is a participative finance mechanism that represents an alternative to traditional funding. Thanks to crowdfunding, projects and business ideas can be easily financed with the contributions of a plurality of investors through an online platform.
What is equity crowdfunding?
It is a collective investment system in which investors acquire shares or stock of the capital of the companies financed on our platform, becoming shareholders of the social companies.
How does equity crowdfunding work?
The platform receives proposals from companies seeking financing in the form of equity. It selects the best ones and establishes a balanced investment agreement for the investors and the company, with a valuation that it considers fair. These projects are published on the web and for 2 or 3 months you can invest in them. If all the investors reach the desired amount, the funds are transferred to the company and the capital increase process begins. If the investment objective is not achieved within the term, the contribution made is transferred back to the investors at no cost to them.

What are sustainable loans or crowdlending?
Crowdlending is a type of financing in which a group of investors lends an amount to a company in exchange for a return determined in advance, reflected in a certain interest rate and repayment term.

In the sustainable loans of the Social Stock Exchange, the financed companies, in addition to being profitable, offer solutions to help solve the social and environmental challenges set out in the UN Sustainable Development Goals.
What is the default rate of the sustainable loans offered in Bolsa Social?
As of June 30, 2023, the default rate on sustainable loans is as follows:
  • Number of sustainable loans financed: 5
  • Default rate (1): 0%
  • Unpaid amount (2): 0 €
  • Delinquency Rate (3): 0 %
  • Amount in arrears (4): 0 €
(1) The default rate represents the percentage of installments with a payment delay of at least 90 days in relation to the total amount lent. It is calculated as follows:
by amount: unpaid principal / total amount lent;
by number of projects: number of projects in default / number of projects financed.
(2). Unpaid amount. Amount of installments with a payment delay of more than 90 days, net of recoveries.
(3). The delinquency rate represents the part of the capital that probably cannot be repaid on the amount borrowed. It is calculated as follows:
in amount: capital in arrears / total amount lent;
in number of projects: number of projects in arrears / number of projects financed.
(4). Amount in arrears represents the total principal that probably cannot be repaid. It is calculated as follows: capital more than 180 days late + principal pending payment, net of recoveries.
 
How do sustainable loans work?
The platform receives proposals from companies seeking financing in the form of a loan. It selects the best ones and carries out a rigorous double analysis, both financial and social impact. These projects are published on the web and for a certain period you can invest in them. If the amount sought is gathered among all the investors, the funds are transferred to the company and the process of formalizing the loan before a notary public begins. If the investment objective is not achieved within the term, the contribution made is transferred back to the investors at no cost to them. Once the loan is formalized, the repayment period and payment of interest in the established installments begins to count.

What is crowdimpacting?
It is a way of equity crowdfunding aiming to produce a positive social and environmental impact by connecting companies and investors with values. Bolsa Social is the first crowdimpacting platform in Spain.
Is crowdfunding a regulated activity in Spain?
Yes. On the 16th of April 2015, the Law on the Promotion of Corporate Finance was passed. This act regulates the activity of this type of platforms (equity crowdfunding and crowdlending) in Spain. These platforms have to be authorized by the CNMV, the Spanish National Securities Market Commission. 
Is Bolsa Social certified by the Spanish National Securities Market Commission?
Yes. Bolsa Social is the first equity crowdfunding authorized by the Spanish National Securities Market Commission.
Is Bolsa Social audited?
Yes. An audit firm checks annually that we fulfill the requirements of Law 5/2015 for the Promotion of Corporate Financing, and audits our annual accounts. The audit firm is Capital Auditors & Consultants. It is registered in the Official Register for Accounts Auditors of the Spanish Accounting and Auditing National Institute (ICAC).
How is La Bolsa Social funded?
If the campaign is successful, La Bolsa Social charges the entrepreneur up to 6% of the amount raised, plus 500€ annually during 5 years. This includes transfer fees. If the campaign is not successful, La Bolsa Social only charges a publication fee of 1000 €.

In addition, Bolsa Social has other lines of business independent of participatory financing rounds, such as the private search for impact investors (M&A consultancy), or the search and management of public financing (grants, Enisa ...), among others.
Do you manage donations to social proyects?
No. Bolsa Social is an eqiuty crowdfunding platform. In other words, investors acquire stock in the companies’ capital in exchange of their investment.

Impact investors
What types of investments exist at Bolsa Social?
At Bolsa Social we offer two types of investments:

- Equity investments: This means that investors acquire shares or participations in the equity of companies, becoming shareholders of companies with social impact.

- Sustainable loans: In this case, investors lend their money to companies at an interest rate and term determined in advance. Unlike equity investments, in loans the investor knows what return he will obtain and at what time. Investors receive the amount borrowed plus interest in monthly installments, being able to recover what they invested on dates determined in advance.
Which criteria do you use to filter your projects?
In the case of equity investment or equity crowdfunding, companies must meet the following minimum requirements:
  1. The company must have a good business model and positively tested (at least, we require that it has generated revenue in the last year).
  2. The company must have the potential to grow and therefore increase in value.
  3. The company must produce a positive impact on society and the environment, that is, its products or services must improve people's lives and protect the environment.
  4. The company must be an SL or SA based in Spain.
In sustainable loans or crowdlending, the minimum requirements are the following:
  1. That the company has at least 3 years of life
  2. That you have invoiced at least 250,000 euros per year in each of the last three years.
  3. That the company has positive EBITDA, at least in the current year.
How do you select the projects?
When we verify that the projects meet the four criteria set out above, our analysis team proceeds to analyze in depth the quality and involvement of the team, the idea, the business plan, the market, the competition, etc., in order to select the best companies. Once this analysis has been carried out, we present the best opportunities to a Selection Committee made up of professionals outside the Bolsa Social, who give us their vision and an external opinion.

Finally, the projects selected by Bolsa Social undergo detailed analysis and simplified legal due diligence with the help of a law firm.

Is the information on projects confidential?
Yes. The information displayed in the projects’ page is confidential. By signing up you commit yourself to respect this confidentiality and refrain from showing this information to other people. You may find all the relevant information in the section privacy policy.
What do you do with my data?
Your personal data are confidential and we do not share them with anybody. We keep them in our private data register (filed with the Spanish Data Protection Authory) and we use your data in order to keep you updated about the projects. We would only share your personal data with the company and with the notary in case you invest, when proceeding with the capital increase, or with the Spanish financial authorities if they request them (Spanish National Securities Market Commission and Bank of Spain).

In addition, in “My Account” section you can decide which part of your "public" profile is visible to other registered users.

What happens when I make a contribution to a project?
During the campaign, your money is deposited in a virtual wallet managed by Mangopay waiting for the target of the campaign to be attained or until the end of the campaign. If the target amount is reached, the money is transferred to the company and we formalize the capital increase (in equity campaigns) or loan (in sustainable loans) at the notary. We will send you a certificate with all the information.

In the event that the campaign does not reach the minimum objective established, the funds will be returned to you at no cost.
Can I use my credit card to invest or should I order a bank transfer?
At Bolsa Social we offer two types of financing campaigns:

In capital investment campaigns, Equity Crowdfunding, in general the contributions will be made by bank transfer to an escrow account created for the company or the instrumental entity that is used, if applicable.

In debt investment campaigns, sustainable loans (Crowdlending), contributions will be made through electronic wallets, through our payment service provider, Mangopay. Due to the specifics of this type of investment, which requires monthly payments of principal and interest to lending investors, we use this system, which allows automatic payments.
With the Mangopay virtual wallet system, you will have to deposit money in your wallet to be able to invest in the projects. You can also do this by card payment or bank transfer. Here you can find in detail how to open and manage your own virtual wallet.
What happens if the company does not meet the investment objective before the deadline?
Triodos Bank will give you your money back free of charges or fees.
 
Is there a minimum investment?
Yes, although it depends on the type of investment. Normally, equity investments require a minimum investment of 1,000 euros, but this amount may vary depending on the company. In sustainable loans, the minimum amount is usually 50 euros.
Is there an investment limit?
Professional and experienced investors can invest with no limits in the companies of Bolsa Social. However, if you are a “non-certified” investor in accordance with the Spanish law 5/2015, you cannot invest more than 3,000€ per company or more than 10,000€ annually in the different projects published in Bolsa Social. 
What type of investors are there in Bolsa Social?
Regulation (EU) 2020/1503 distinguishes between experienced and inexperienced investors, and introduces different levels of protection for each of these categories.
The experienced investor is any natural or legal person who declares to meet at least one of the following criteria:
  • For natural person:
    • Have own resources of at least €100,000
    • Have a net turnover of at least €2,000,000
    • Have a balance of at least €1,000,000
  • For natural person:
    • Have annual gross income of at least €60,000, or a portfolio of financial instruments of more than €100,000
    • Who works or has worked in the financial sector for at least one year in a professional position that requires knowledge of the operations or services planned
    • That they have carried out operations of significant volume in the capital markets with an average frequency of 10 per quarter during the four previous quarters.
The inexperienced investor is anyone who is not experienced.
In order to reinforce the protection of inexperienced investors, a reflection period of 4 calendar days is established in this investment opportunity, during which the inexperienced investor can revoke his investment offer without being penalized. . The form of notification of the withdrawal of the investment within the established period is by email to contacto@bolsasocial.com.
 
What kind of return can I expect when investing in the companies published by Bolsa Social?
First of all, you have to understand very well what type of investment you are making. At Bolsa Social we offer two types of investment, investment in capital or equity and sustainable loans or crowdlending.

In the case of sustainable loans, profitability is defined in advance. To do this, you must look at the interest rate of each loan, which is equivalent to the annual return you will receive for your investment. In each of the loans you will see an amortization table in the "Financial information" tab, which details the schedule for repayment of the loan and payment of interest to investors.

Equity investing carries more risk for the investor as it is not known when there will be a return, if any. These are investments in the capital of recently created companies with high growth potential; companies that can offer high returns but also present a high risk.

The companies published in Bolsa Social are young and have high growth potential; these are companies that can offer high returns but also they have high risk. In addition, the investment horizon is normally long, because in order to recover the money invested you must wait either for the company to be sold to a third party or for the company or the shareholders to buy your stock in the company.  In some cases, an exit may also occur in future capital increases after a specified number of years. In this post we explain in detail what are the possible cases in which you can make your equity investment profitable.

Since our birth in 2015, two companies on the Bolsa Social have had profitable exits for their investors: Nostoc BiotechUtopicus and AUARA.

Diversification is a way to mitigate the inherent risk of investment. It is essential to distribute the money invested in a high number of investments, in different sectors, state of maturity, moments in time or geographical distribution. Diversifying is essential when you invest in young companies, because failure is common in this type of companies. The aim of having a diversified portfolio is to achieve a positive global return of investment, taking into account the high risk of these companeis, individually considered. Do I obtain any tax benefits for investing in Bolsa Social?
Only in some cases where you make equity investments. When you invest in companies that are younger than 3 years old you can deduct up to 30% of your investment from your personal income tax in Spain. The maximum amount that you can deduce is 60.000 € per year. This would allow you to deduct up to 18.000€ a year of the national tax liability. In addition to this deduction, there are regional deductions that change according to the autonomous community. Our recommendation is that you consult with your tax advisor to know the exact amounts in each case. You should comply with two requisits:
  • You should hold your shares a minimum of 3 years and maximum of 12.
  • In your tax declaration you should present a certificate from the company/s in which you have invested specifying the amount you have invested.

Does my investment involve any risks?
Yes, although it depends on the type of investment you make.

Equity investments are a high risk invesmtent, because generally these are very young companies and their success is uncertain. When you invest in a company published in Bolsa Social, you become a shareholder of the company you have decided to support and you assume its benefits and the risks, just as entrepreneurs (now your partners) do. Therefore, if things do not go well for the company, you may lose all or part of your investment (however, never more than that). Returns are not guaranteed and, since these are non-listed companies, it may not be easy to find buyers for your shares. Our advice is that you should not invest any money you can not afford losing (so that you are prepared for the worst case scenario) and that you diversify your investments by investing in several companies.

In sustainable loans, the risk is lower. On the one hand, profitability is more tangible and is known in advance; and on the other, they are more established companies, which have undergone an exhaustive analysis to verify that they have the capacity to repay the loan. However, every investment has its risk: in the event that the borrower could not meet their payment obligations (partially or completely), you could lose part or all of the borrowed capital.

Can I invest in more than a company?
Yes. In fact, it is advisable that you do so. Diversifying your investment by investing in several companies reduces risk. It is not safe to put all your eggs in one basket.
Does Bolsa Social invest in the projects?
We invest in every company that we advertise only when we are able to, an amount that never exceeds 10%, which is the limit imposed by the law on crowdfunding.
What is the investment in convertible notes?
Convertible notes or loans are a financing instrument through which a startup receives capital in an agile manner from those who intend to become future investors in the company.
Thus, the startup receives said capital injection and acquires a short-term debt agreement with the future investor who, in turn, receives preferred shares of the company.
Convertible notes are considered a hybrid between debt (short-term) and equity (long-term), and are frequent in certain stages of a company, when it requires time to successfully close a financing round and, in turn, , needs financing to undertake its development plans and increase the value of the company before closing said round.
The aspects that are usually contemplated in the convertible note contracts are:
  • Discount rate: It is the percentage that, at the time the financing round takes place, is applied to the valuation attributed to the company's shares. Most of the convertible notes issued tend to include it, since it is the most efficient way to offset the risk assumed by investors when entering the earliest stages of the project. It is common to increase the discount rate the longer the investor has lent capital to the company through convertible notes.
  • Maximum valuation to be capitalized (Cap): It consists of setting a maximum valuation at which investors who have lent capital may convert their shares. In cases where the discount rate and maximum capitalization coexist, the investor will convert their shares to the value that is lower between the resulting value after applying the discount rate on the valuation agreed in the financing round and the agreed value. as maximum capitalization.
  • Expiration date: Although it is not frequent, in cases in which the next round of financing has not been carried out before the established term expires, the company must return the amount of the loan plus the interest accrued in full.
  • Interest rate: Unlike the process that occurs in other common loans, the investor does not receive interest payments on a monthly basis, but these accumulate over time until the next round of financing is made, increasing , thus, the total value of the note.
How can I directly contact the entrepreneurial team?
By signing up to Bolsa Social you will be able to access the forum on each project (tab "Comments & News") and ask questions to the entrepreneurs. In addition, you will be able to participate in the projects presentation events we organise and meet the entrepreneurs in person.
How are my rights as a retail investor protected in equity investments?
All investors are organized around a community of goods, a syndicate, or an instrumental entity, as the case may be, and are represented by the reference investor (that is, in principle, the investor who has invested the largest amount during the campaign ). The reference investor represents the other investors on the company's board, asserting the interests of the new partners, and may have the right to appoint an observer to the board of directors.
 
In addition, the stockholders agreement specifies the circumstances that govern the tag-along and drag-along rights. To know all your rights as a shareholder, you can download the Investment Agreement that you will sign in each case in the "Documents" tab, in the campaign page.
How can I participate in the management of the company if I make an equity investment?
By investing in the company’s capital you become one of its stockholders. The investor who makes the largest contribution will have the right to occupy one seat on the company’s board of directors and votes in the stockholders meetings on behalf of all the new stockholders. A standard stockholders agreement that we have drafted with the assistance of a prestigious law firm protects your rights as a stockholder. To know all your rights as a shareholder, you can download the Investment Agreement that you will sign in each case in the "Documents" tab, within the campaign.
How long is a crowdfunding campaign in Bolsa Social?
Usually 2 or 3 months long. Upon agreement with the entrepreneur, the campaign can be extended 15 more days.
Can you keep investing in a project once the investment objective has been met?
Projects have a minimum and a maximum objective (that is why the investment percentage appears as a range between two figures). A campaign is considered to be successful when the minimum objective is attained, but it goes on until it reaches the maximum objective or until the deadline.

If you have invested once in the project and want to invest again during the same investment round, you can do it freely.
If the campaign is successful, how is the investment performed?
In equity investment, Bolsa Social formalizes the capital increase before a notary on your behalf and that of the rest of the investors, and from that moment you become partners of the company.

In loans, Bolsa Social formalizes the loan before a notary and from then on the repayment term begins to count with the corresponding interest payment.
What happens next? How can I monitor my investment?
In equity investments, once the investment round is closed, companies must send their shareholders quarterly reports on the progress of the project (its results, relevant facts and social and environmental impact reports) which you can access from your account at all times.

All the communication of the company with its shareholders will be through the platform. In addition, Bolsa Social organizes an annual meeting of the companies with their shareholders, generally at the end of the year, where the companies present their results until then and where the shareholders can send them their questions and comments.

In sustainable loans, there is not so much relationship with the companies after the campaign is over. Once the loan is formalized, you will receive the payment of your installments on a monthly basis. In any case, if you have any type of query, you can do it through the investor forum and those responsible for the project will answer you as soon as possible. In the event of any type of setback in the repayment of the loans, you will also be informed in detail through the investor forum, and you will be notified by email.
Can I invest in the projects if I am a foreigner?
Yes, you can. The condition established by law to invest in Spanish companies is that you have a Foreigner Identity Number (NIE). If you don't have it, the process to obtain it is explained here.

What happens if you don't have a NIE?

In the event that you still do not have your NIE, you can also invest. You can register on the platform using your passport number, and invest in any of our opportunities. Now, take into account that once the capital increase operation has been formalized, in the coming months you will have to obtain your NIE so that the company can successfully register the capital increase in the Commercial Registry. If this is your case, both the company and the Bolsa Social will help you throughout the process.
Does investing through Bolsa Social cost me money?
Registration and creation of an account by Investor Users will be completely free.
The investment will be subject to a management fee of 1.5% of the invested value, for the provision of carefully analyzed investment opportunities, structuring of the investment and support in the post-investment stage.
Likewise, it will be up to the Investor to satisfy the banking entity when the payment of the amount invested is made by bank transfer; and on the other hand, only in the event that the investor obtains a return on his investment in the future, 10% of the profits he obtains, as a commission on the carry.
 
Example: imagine that you invest 10,000 euros in a certain company. At the time of your investment, in addition to the 10,000, you will pay a commission of €150 + VAT. While the investment is valid, through Bolsa Social you will have access to the company's periodic reports, and we will inform you of any news regarding your investment.
If after several years the company appreciates in value and you have the opportunity to sell your shares for, for example, double the value (20,000 euros), we will charge 10% of your profits (which in this case would be 10,000 euros). That is, we would charge a commission of 1000 euros + VAT. In this way, you would finally receive a total of 20,000 euros - (1000 euros+210 euros VAT) = 18,790 euros.
What is Mangopay?
Mangopay is the entity that manages the collections and payments of investments in La Bolsa Social. To do this, it uses a virtual wallet system that allows investors to invest and receive reimbursements of their investments quickly, comfortably and safely.

It is a payment services entity registered and supervised by the Luxembourg Commission de Surveillance du Secteur Financier (CSSF) and acts subject to the European Payment Services Directive (PSD2).
Is Mangopay a secure payment method?
Yes. It is an agent specialized in collections and payments, supervised by the European authorities and under the PSD2 directive, so its independence and professionalism are guaranteed.
Why do I have to open a virtual wallet?
Because it is the only way to be able to receive reimbursements of your investments on a regular basis. It is a system that allows you to invest and receive reimbursements of your investments in a fast, comfortable and safe way.


At Bolsa Social we use virtual wallets for sustainable loan campaigns (investment in debt). Due to the characteristics of this type of investment, which requires monthly repayments to lenders, we use the services of Mangopay, a payment service entity registered and supervised by the Commission de Surveillance du Secteur Financier of Luxembourg (CSSF) and subject to the European Payment Services Directive (PSD2).
In order to invest in sustainable loans (debt investment) you will need to operate with your electronic wallet.
However, virtual wallets will not be used in capital investment campaigns, and contributions will be made through the traditional method: by bank transfer to an escrow account, where contributions are collected throughout the duration of the campaign.

How do I open my virtual wallet?
Opening a virtual wallet is very simple. To do this, we recommend you go to this post where we tell you step by step how to do it.
Will I be able to continue investing with the old transfer method from now on?
Only in equity croedfunding investments (capital investment or crowdequity). In these cases, the contributions will be made through the traditional method: by bank transfer to an escrow account, where the contributions are collected for the duration of the campaign.
For investments in sustainable loans (investment in debt or crowdlending) only virtual wallets will be used.
How do tax withholdings work with the Mangopay system?
From the use of Mangopay Wallets, tax withholdings on interest will be paid directly to the Treasury by our team. You would not have to do anything, except check at the end of the year that the certificate we send you matches the information on your tax return.

What requirements must I meet to qualify for a capital investment round?
Bolsa Social asks you to meet three requirements in order to select your company:
  1. You must have had turnover for at least a year
  2. You must have growth potential
  3. Your business model must incorporate values that improve the life of others and/or take care of the environment.
  4. That you are an SL or SA based in Spain.
Besides, we specially take into consideration the quality and involvement of the team, the value of the idea and the presentation of the business plan. In the “Companies with impact” section you will find which information you should send us and how to do it.
What requirements must I meet to qualify for a sustainable loan?
The minimum requirements for us to analyze your proposal are the following:

1. That the company has at least 3 years of life
2. That you have invoiced at least 250,000 euros per year in the last three years.
3. That the company has positive EBITDA, at least in the current year.
Which information and documents do I have to submit?
You have to send us detailed information about the company, the team, the business model and the financial situation and perspectives. This should be done according to the description on this document. You should register and follow the instructions that you will find in "My Project" section of your personal account. Is there a selection process?
Yes. A Selection Committee will asses your proposal and after a thorough financial and business analysis, we will decide whether we publish your project in La Bolsa Social or not. The process lasts approximately a month, if we have all the necessary information.
When I submit a project, what happens until it is presented?
The analysis team from Bolsa Social analyse your proposal and the Selection Committee of Bolsa Social makes a decision. We will contact you within a month to communicate the decision to you. If your project is selected the law firm we work with will perform a simplified due diligence to decide if the project will be presented in Bolsa Social. You will be authorised to upload your project in the platform from your personal account.
How much does it cost to get funded through Bolsa Social?
In equity investments rounds:
  • Fee of € 1,000  to cover the analysis of the company before its publication. 
  • Only if the campaign is successful, Bolsa Social charges the entrepreneur a success fee of 5% - 7% of the capital gathered, with a minimum per campaign.
  • Monitoring fee annually after the formalization of the operation. The value depends on the sindication mechanism.

Eventually, the company must also bear the costs of preparing a legal due diligence report, as well as formalizing the capital increase.

In sustainable loans, the costs will vary according to the type of project and risk. In general, the interest rate will be between 2.9 and 7.9%, and to this an opening commission and a monthly management commission will have to be added. Who bares the cost of the Due Dilligence?
It is borne by the company. Its cost amounts to € 1,500.
Is there a maximum amount for funding a project?
As established by the law on crowdfunding, the maximum funding for a project and a platform can’t exceed €2,000,000. If the project is only addressed to “certified” investors, this limit can be as high as €5,000,000.
Is there a minimum amount for the funding?
Yes. The capital increase must be higher than €50,000.
Can projects be edited after publication?
No, but updates can be added.
How long is a crowdfunding campaign in Bolsa Social?
Usually 2 or 3 months long. Upon agreement with the entrepreneur, the campaign can be extended 15 more days.
What happens if the financing target is attained?
In equity investment rounds, we will proceed with the capital increase on behalf of all the investors. This binds you to the following:
  • Offering at least one seat on the board of directors to the investor who has made the largest contribution.
  • Amend the by-laws of your company in order to incorporate the points of the shareholders agreement.
  • Periodically informing investors through La Bolsa Social about the development of the company, its performance and social and environmental impact, at least for 5 years.
In the case of sustainable loans, we will formalize the loan in a notary's office. From then on, the repayment term and payment of interest will begin to count as established in the contract. At Bolsa Social we will help you manage the loan in the simplest way possible, and thanks to Mangopay the payment of the installments is made automatically.
 
If the financing objective is met, can people keep investing in my project?
Projects have a minimum and a maximum objective (that is why the investment percentage appears as a range between two figures). A campaign is considered to be successful when the minimum objective is attained, but it goes on until it reaches the maximum objective or until the deadline.

In addition, as established by law, entrepreneurs who wish to do so may extend the round by 25% once the maximum objective is reached.
In equity investments, what rights will the new shareholders have upon my company?
By investing in the company’s capital, the investor becomes a shareholder. The investor who makes the largest contribution will be entitled to a seat on the board of directors, and will represent the rest of the investors in the stockholders meetings. The shareholders agreement establishes clauses to protect your investors: drag-along, tag-along, anti-dilution, preference in case of liquidation fo the company, etc. Please read the investment agreement carefully.
What happens if the financing objective is not attained?
If the investment target is not met before the deadline, Mangopay system will return the money to the investors, at no cost to them.
Can I invest in my own project?
Yes. In fact, we encourage you to do so.
If I obtain funds from other sources, can I add them to my total?
Yes. The success of a crowdfunding campaign is based on you ability to mobilize all your community of clients and partners. If during the process you find other sources of funding, let us know and we will add it to your project.
Can I communicate with the investors?
Yes. In Bolsa Social we will provide you with tools that would allow you to contact your investors in a fast and simple way and we will organize meetings with them.
Can projects be shared in the social networks?
Yes. Publication in social networks is key to the success of the project and we recommend that you do so.
What sort of information will I have to give the investors once the campaign is over?
In equity investments, you’ll have to inform them periodically through Bolsa Social about the progress of the company, its performance and its social and environmental impact according to the description on this document.

In sustainable loans, it is not necessary to inform investors periodically. However, if you have the opportunity to do so, it is very positive to inform them through the forum of everything that is happening in the company. Investors can help you spread the news and, in some cases, they can help solve a problem or need that may arise.
Who pays for the expenses of the capital formalization?
The costs of formalities, like adaptation of the company bylaws, notarization or trade registration, are paid by the company.
